By using eTrades.ai, you acknowledge processing sensitive financial documents. This agreement contains LIABILITY LIMITATIONS and INDEMNIFICATION CLAUSES. Please read carefully before proceeding.

1. DEFINITIONS AND INTERPRETATION

  • "Service" means the eTrades.ai PDF to Excel conversion platform
  • "User", "You" means the individual or entity using the Service
  • "Company", "We", "Us" means eTrades.ai and its affiliates
  • "Financial Documents" means brokerage statements, trading records, and related PDFs
  • "Processing" means AI-powered extraction and conversion of data
  • "Agreement" means these Terms of Service

2. ACCEPTANCE AND CAPACITY

BY USING THIS SERVICE, YOU EXPRESSLY AGREE TO:

  • Be bound by this Agreement in its entirety
  • Waive certain rights regarding data accuracy and security
  • Accept all risks associated with financial document processing
  • Indemnify the Company against all claims

You warrant that you:

  • Are at least 18 years of age
  • Have full legal capacity to enter binding contracts
  • Are not prohibited from using the Service under applicable law
  • Have authority to bind any entity you represent

3. SERVICE DESCRIPTION AND LIMITATIONS

3.1 Service Scope

The Service provides automated conversion of PDF brokerage statements using artificial intelligence. This includes:

  • Upload and temporary storage of PDF documents
  • AI-powered optical character recognition and data extraction
  • Generation of Excel spreadsheets with extracted data
  • Temporary availability for download (5 minutes maximum)

3.2 Service Limitations

⚠️ CRITICAL LIMITATIONS:

  • NO GUARANTEE of 100% accuracy in data extraction
  • NO WARRANTY for fitness for tax or legal purposes
  • NO RESPONSIBILITY for financial decisions based on output
  • NO GUARANTEE against data breaches or unauthorized access
  • Maximum file size: 10MB per upload
  • Rate limit: 10 conversions per hour

4. USER OBLIGATIONS AND RESPONSIBILITIES

4.1 Your Warranties

You warrant and represent that:

  • You have full legal rights to upload and process all submitted documents
  • Documents do not violate any third-party rights or confidentiality agreements
  • You will verify all extracted data before use
  • You will not rely solely on the Service for critical financial decisions
  • You accept full responsibility for document security post-download

4.2 Prohibited Activities

You SHALL NOT:

  • Upload documents containing malware, viruses, or harmful code
  • Attempt to reverse engineer, decompile, or hack the Service
  • Use automated scripts or bots without written permission
  • Share login credentials or allow unauthorized access
  • Upload illegal, fraudulent, or falsified documents
  • Resell, redistribute, or commercialize extracted data
  • Circumvent rate limits or security measures
  • Use the Service for money laundering or illegal activities

5. DISCLAIMERS AND WARRANTIES

5.1 NO WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF EXTRACTED DATA
  • SECURITY OR CONFIDENTIALITY OF UPLOADED DOCUMENTS
  • UNINTERRUPTED OR ERROR-FREE SERVICE
  • FREEDOM FROM VIRUSES OR HARMFUL COMPONENTS

5.2 Accuracy Disclaimer

While we strive for high accuracy, WE EXPLICITLY DISCLAIM ALL LIABILITY for:

  • Errors in OCR or data extraction
  • Misinterpretation of document formats
  • Incorrect categorization of transactions
  • Missing or duplicated data
  • Calculation errors in extracted values

⚠️ USER RESPONSIBILITY:

You must independently verify all extracted data before using it for tax filings, financial reporting, or investment decisions. The Company accepts NO RESPONSIBILITY for consequences arising from reliance on unverified data.

6. LIMITATION OF LIABILITY

MAXIMUM LIABILITY CAP

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING EUROPEAN UNION REGULATIONS:

6.1 EXCLUSION OF DAMAGES: IN NO EVENT SHALL THE COMPANY BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
  • LOSS OR CORRUPTION OF DATA
  • UNAUTHORIZED ACCESS TO YOUR DOCUMENTS
  • DATA BREACHES OR SECURITY INCIDENTS
  • TAX PENALTIES OR FINANCIAL LOSSES
  • REPUTATIONAL DAMAGE
  • COSTS OF PROCURING SUBSTITUTE SERVICES

6.2 TOTAL LIABILITY CAP: OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE LESSER OF:

  • €100 (ONE HUNDRED EUROS); OR
  • The amount paid by you to us in the 12 months preceding the claim

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

6.3 Security Breach Waiver

IMPORTANT SECURITY NOTICE:

By using this Service, you acknowledge that despite our security measures, NO SYSTEM IS 100% SECURE. You expressly waive all claims against us for:

  • Data breaches caused by third parties
  • Unauthorized access to your financial documents
  • Identity theft or fraud resulting from security incidents
  • Any damages arising from cyber attacks

7. INDEMNIFICATION

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS:

eTrades.ai, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including attorney's fees) arising from:

  • Your violation of any term of this Agreement
  • Your violation of any third-party rights
  • Your violation of any applicable law or regulation
  • Any claim that your use of the Service caused damage to a third party
  • Your negligent or intentional misconduct
  • Unauthorized use of your account
  • Any inaccuracy in data you provide
  • Tax or financial penalties resulting from use of extracted data

This indemnification obligation will survive termination of this Agreement and your use of the Service.

8. SUBSCRIPTION AND PAYMENT TERMS

8.1 Subscription Plans

8.2 Payment Terms

  • All prices exclude VAT where applicable
  • Payments processed securely via Stripe
  • Automatic renewal unless cancelled 24 hours before period end
  • No refunds for partial months or unused conversions
  • Conversions do not roll over to next period

8.3 Refund Policy

30-Day Money-Back Guarantee (First-time subscribers only)

Conditions:

  • Request within 30 days of first payment
  • Account not previously refunded
  • No violation of Terms of Service

9. INTELLECTUAL PROPERTY

9.1 Company Property

All rights, title, and interest in the Service, including:

  • Software, algorithms, and AI models
  • User interface designs and layouts
  • Logos, trademarks, and branding
  • Documentation and content
  • Trade secrets and proprietary methods

Are owned exclusively by eTrades.ai and protected by intellectual property laws.

9.2 User Content License

By uploading documents, you grant us a limited, non-exclusive, royalty-free license to:

  • Process documents for service delivery
  • Generate aggregated, anonymized analytics
  • Improve our AI models (using anonymized data only)

This license terminates upon document deletion (within 5 minutes).

10. TERMINATION

10.1 Termination by Company

We may terminate or suspend your access immediately, without notice, for:

  • Violation of this Agreement
  • Suspected fraudulent or illegal activity
  • Non-payment of fees
  • Actions harmful to other users or the Service
  • At our sole discretion for any reason

10.2 Effect of Termination

Upon termination:

  • Access to the Service ceases immediately
  • No refunds for current subscription period
  • All data is deleted per our retention policy
  • Sections 5-7, 9, 11-15 survive termination

11. DISPUTE RESOLUTION

11.1 Governing Law

This Agreement is governed by the laws of [Your EU Country], without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11.2 Mandatory Arbitration

ARBITRATION AGREEMENT:

Any dispute shall be resolved through binding arbitration under the rules of [Arbitration Body], except:

  • Claims for injunctive relief
  • Intellectual property disputes
  • Small claims court matters (under €5,000)

11.3 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS AGAINST THE COMPANY.

12. FORCE MAJEURE

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including:

  • Acts of God, natural disasters, or pandemic
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Internet or telecommunications failures
  • Cyber attacks or security breaches by third parties

13. MISCELLANEOUS

13.1 Entire Agreement

This Agreement constitutes the entire agreement between you and eTrades.ai, superseding all prior agreements.

13.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full force.

13.3 No Waiver

Our failure to enforce any right or provision is not a waiver of that right.

13.4 Assignment

You may not assign this Agreement. We may assign our rights to any successor or acquirer.

14. AMENDMENTS

We reserve the right to modify these Terms at any time. Changes will be effective upon:

  • Posting updated Terms on the website
  • Email notification for material changes
  • 30 days notice for changes affecting existing subscriptions

Continued use after changes constitutes acceptance of modified Terms.

BY CLICKING "I AGREE" OR USING eTrades.ai, YOU ACKNOWLEDGE:

  • You have READ and UNDERSTOOD this entire Agreement
  • You ACCEPT all risks associated with financial document processing
  • You WAIVE rights to damages beyond stated limitations
  • You AGREE to indemnify the Company
  • You UNDERSTAND data may be breached despite security measures
  • You WILL independently verify all extracted data
  • This Agreement is LEGALLY BINDING and ENFORCEABLE

IF YOU DO NOT AGREE, YOU MUST NOT USE THIS SERVICE.
